Terms of Service

These Terms of Service (the "Terms") are a binding legal agreement between you ("you," "Customer," or "User") and Agilarc LLC ("plandatum," "we," "us," or "Company") governing your access to and use of the plandatum synthetic data generation platform and related websites, applications, APIs, and documentation (collectively, the "Service").

By creating an account, clicking "I agree" or a similar control, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

Your use of the Service is also governed by the plandatum End User License Agreement, Privacy Policy, Cookie Notice, and Acceptable Use Policy (AUP), each incorporated by reference.

1. Definitions

"Account" means the account you register to access the Service. "Service" means the hosted, multi-tenant plandatum software-as-a-service platform for synthetic and test data generation, including the web application, APIs, generators, orchestration, data-plane storage, and export functionality. "Project" means a logical workspace in which you define schemas, generators, and jobs. "Schema Definition" or "Input" means relational schemas, DDL, seeded scenario selections, generator assignments, configuration, and other materials you create, upload, or configure. "Job" means a data generation run. "Generated Data" means synthetic or test data output produced by a Job. "Data Plane" means the shared PostgreSQL environment operated by Company. "Trial" means no-charge evaluation access.

2. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

You agree to provide accurate, current, and complete account information and to safeguard credentials, tokens, and authentication factors. You are responsible for all activity under your Account and must notify us promptly at [email protected] of suspected unauthorized use.

The Service enforces per-user Project isolation. You must not attempt to access any Project, Account, or data that is not yours.

3. Description of the Service

plandatum is a synthetic data generation platform. The Service may allow you to define relational schemas, upload DDL, select seeded scenarios, assign generators, run Jobs that generate foreign-key-aware relational test data into per-Job schemas, inject controlled data-quality issues, and export Generated Data in supported formats.

These Terms apply to the hosted SaaS offering. Separate self-hosted or on-premises offerings may be governed by separate terms. We may modify, enhance, or discontinue Service features from time to time.

4. Multi-Tenancy and Infrastructure

The Service is multi-tenant. Generated Data is written to a shared Data Plane in a per-Job database schema and resides on Company-controlled infrastructure until exported by you or evicted under these Terms. Logical isolation, not necessarily physical separation, is used to segregate tenants.

5. Trial Terms

We may offer a no-charge Trial. As currently implemented, Trial Accounts may be limited to one Project, 100 tables, 1,000 rows per table, and a seven-day Trial period. Trial limits are product configuration and may change over time.

We may designate certain accounts as exempt from Trial restrictions for administrative, evaluation, or partnership purposes. Such designation is discretionary and may be revoked. Upon Trial expiry, access may be suspended, limited, or terminated, and associated Projects and Generated Data may be deleted. Trials are provided "AS IS" without warranty.

6. User Inputs, Ownership, and Licenses

As between you and Company, you retain all rights you hold in Schema Definitions and other Inputs. You are responsible for your Inputs and for having necessary rights to upload and use them.

You grant Company a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and otherwise use your Inputs and Generated Data solely as necessary to provide, secure, maintain, and improve the Service and comply with law.

As between you and Company, and subject to your compliance with these Terms and the EULA, you own the Generated Data output of your Jobs. Company retains all rights in the Service as described below and in the EULA.

The Service is designed to generate synthetic data. You must not upload, submit, or process prohibited categories of data except as permitted by the Acceptable Use Policy or a separate written agreement. Personal data handling is described in the Privacy Policy.

7. Data Retention, Eviction, and Export

Completed Jobs may retain Generated Data schemas in the Data Plane up to a per-Project dataset cap, typically three datasets subject to change by configuration. When the cap is exceeded, or upon Trial expiry, account termination, or operational necessity, older or excess datasets may be permanently deleted, including by dropping the underlying database schema. Deleted data is not recoverable.

You are responsible for exporting and retaining any Generated Data you wish to keep. The Service is not a system of record, backup service, or long-term storage service.

8. Acceptable Use

You must comply with the Acceptable Use Policy, which is incorporated into these Terms. The AUP sets out permitted uses, prohibited conduct, prohibited categories of data, security responsibilities, monitoring and enforcement rights, and reporting instructions. Violations may result in suspension or termination.

9. Confidentiality and Security

We implement commercially reasonable technical and organizational security measures designed to protect the Service and your data, but we do not guarantee absolute security. You are responsible for secure configuration and credential protection, with additional security responsibilities described in the AUP. Each party will protect the other's non-public information using at least reasonable care and use it only as permitted by these Terms.

10. Synthetic and Generated Data Disclaimers

Generated Data is synthetic test data. It may not be statistically representative, complete, valid, accurate, production-ready, or fit for any particular purpose. Optional data-quality injection features intentionally introduce defects, errors, and anomalies when enabled. You are solely responsible for downstream use of Generated Data and must not represent synthetic data as real data where doing so would be deceptive or unlawful.

11. Intellectual Property

The Service, including software, generators, algorithms, user interfaces, documentation, and trademarks, is owned by Company or its licensors and is protected by intellectual property laws. Except for rights expressly granted in these Terms and the EULA, no rights are granted to you.

12. Fees

Trial access is provided at no charge. Paid plans, if offered, are governed by pricing and payment terms presented at the point of sale or in a separate order form or agreement. Unless stated otherwise, fees are non-refundable and exclusive of taxes.

13. Warranty Disclaimer

Except as expressly stated in a separate signed agreement, the Service, including all Generated Data, is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Company does not warrant that the Service will be uninterrupted, error-free, or secure, or that Generated Data will meet your requirements.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of data, arising out of or relating to the Service.

To the maximum extent permitted by law, Company's total aggregate liability arising out of or relating to these Terms and the Service will not exceed the greater of the amounts you paid to Company for the Service in the twelve months preceding the event giving rise to the claim or US$100. For Trial or no-charge use, Company's liability is limited to US$100.

15. Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses arising out of or related to your Inputs, your use of the Service or Generated Data, your violation of these Terms, the EULA, or applicable law, or your infringement or misappropriation of third-party rights.

16. Suspension and Termination

You may stop using the Service and delete your Account at any time. We may suspend or terminate access if you violate these Terms, the EULA, the AUP, or applicable law; if your use poses a security, legal, or operational risk; if your Trial expires; or as otherwise reasonably necessary. Upon termination, your right to use the Service ends and Projects and Generated Data may be deleted. Provisions that by nature should survive will survive termination.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Allegheny County, Pennsylvania, USA, except that either party may seek injunctive relief in any court of competent jurisdiction.

Before filing a claim, each party will use reasonable efforts to resolve disputes informally by providing written notice and allowing thirty days for good-faith discussion, except where urgent injunctive or equitable relief is reasonably necessary.

18. General

We may update these Terms from time to time and will provide reasonable notice of material changes. Your continued use of the Service after changes take effect constitutes acceptance. These Terms, together with the EULA, Privacy Policy, Cookie Notice, AUP, and any order form, constitute the entire agreement between you and Company regarding the Service. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors.
